How to complete an Alberta Incorporation
This guide explains how to perform an Alberta Incorporation in Ingenio from starting the transaction to generating documents, collecting signatures, and completing filing details.
Before You Start
Make sure:
- You know which incorporation type you’re completing:
- Named (Upload NUANS)
- Named (Reserve name in Ingenio)
- Numbered
- If you’re doing a Named Incorporation (Upload NUANS), have your NUANS Reservation Report saved as a PDF.
- Your signing authorities (and/or contacts) are ready to select in the transaction.
- You’re ready to enter incorporation details (registered office, directors, share structure, etc.).
Step-by-Step Instructions
- Log in to the Ingenio application.
- Click Create → select Entity Incorporation.
- Choose one of the incorporation options:
- Named Incorporation: provide your NUANS Reservation Report.
- Named Incorporation: perform a name reservation within Ingenio.
- Numbered Incorporation.
- If you are using Named Incorporation (Upload NUANS):
- Upload the NUANS Reservation Report (PDF) on the first screen.
- (Optional) Check "Do you want to continue the organization after incorporation?" to generate organization documents as part of the same package.
- Click Continue.
- Proceed through the incorporation screens and fill in as much information as you can.
- You can use existing contacts, or create contacts during the transaction.
- On the Document Templates screen:
- Select the templates you want to generate (they appear immediately in the list below).
- Confirm the signing authority for each template.
- Ingenio pre-selects signing authorities by default. To change who signs, check/uncheck the signing authority options.
- Click Submit to start document generation.
Review document generation (Review & Approvals)
After you submit, the transaction will appear in Review & Approvals with status Document Generating.
Note: For incorporation packages, document generation can take 45 seconds up to 2 minutes, depending on how many templates are selected.
If generation fails, use the Actions (⋯) menu and select Regenerate Templates.
Review documents and send for e-signing (Document Signing)
Once the templates are generated, the transaction automatically moves to Document Signing.
- Review each generated document.
- To e-sign the full package, use the transaction Actions (⋯) menu and select Send for E-Signing.
Ingenio will merge all documents into a single signing package and send signature requests using Consigno to each signing authority.
Note: Sending the signing package can take 45 seconds up to 2 minutes. Consigno is configured to send reminders automatically.
Upload signed documents (optional)
If you already have signed documents outside Ingenio:
- Download the document from Ingenio.
- Use the Actions (⋯) menu beside that document.
- Upload the signed version.
Filing & Completion
After all signatures are collected, the transaction automatically moves to Filing & Completion.
- Review each signed document.
- Use the transaction Actions (⋯) menu and select Complete Transaction.
- If filing is required, upload proof of filing:
- Upload files in PDF format
- Select the appropriate file name/type
- Preview the documents in the next step (if prompted)
- Enter the Corporation Number you received from the registry filing.
- Complete the step.
You will now find the incorporated entity listed in your Entities table.
⚠️ Important Notes:
- It’s normal for Document Generating and Send for E-Signing to take up to 2 minutes for large incorporation packages.
- If e-signing emails aren’t received, ask signers to check spam/junk folders (noreply@ingenio.ca).
- If you see a failure status at any stage, use the Actions (⋯) menu for recovery options (for example, Regenerate Templates).
